These Terms of Service (“Terms”) govern your access to and use of the Defacta platform operated by Defacta Inc. (“Defacta”, “we”, “us”, or “our”). By accessing or using Defacta, you agree to be bound by these Terms.
1. The Service
Defacta provides an automated AI-powered content verification platform that analyzes text for factual consistency, source support, citation integrity, bias signals, and manipulation patterns. Defacta outputs are probabilistic assessments designed to support human review. They are not statements of fact, legal advice, financial advice, editorial determinations, or professional opinions of any kind. Defacta does not give a final verdict and is not a measure of truth. It is designed to carry no political or ideological affiliation. If you notice bias in an output, please let us know using the contact details below and we will review it.
2. Informational and Consultative Use Only
All outputs produced by Defacta, including scores, assessments, labels, flags, explanations, and recommendations, are provided for informational and consultative purposes only. They are designed to support human judgment and professional review, not to replace it.
No output from Defacta constitutes an authoritative determination about any individual, publication, organization, claim, article, source, or event. This applies regardless of the confidence score shown, the number of sources consulted, or the degree of model consensus achieved.
Users are solely responsible for how they interpret, act on, and communicate Defacta outputs. Users must independently verify any output before relying on it for publication, legal, financial, reputational, employment, compliance, or other consequential purposes. Every decision made using Defacta outputs must be made by a human, and Defacta is not responsible for any such decision or its consequences.
3. Intended Users, Personal Purchases, and Consumer Rights
Defacta is intended for business, professional, research, editorial, compliance, organizational, and personal use. If you use Defacta on behalf of an organization, you confirm that you have authority to bind it, and a signed order form or enterprise agreement takes precedence over these Terms in case of conflict.
The public paid offers described in these Terms are for individuals who buy for themselves. At checkout, you must confirm that you are buying as an individual and give accurate country and billing information. These offers do not provide business or enterprise purchase terms, and no public purchase creates an enterprise agreement.
Nothing in these Terms limits consumer rights that the law does not allow us to limit. You can use the service only where your use is lawful. You are responsible for complying with the laws that apply to you, including when you access the service from outside the United States. A country shown in checkout does not remove legal requirements that apply to you or to the sale.
4. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms or create legal, security, operational, or reputational risk for Defacta or other users. You must be at least 18 years old. If you sign in with a third-party account such as Google, we use only the basic profile information needed to operate your account.
5. Acceptable Use
You may use Defacta only for lawful purposes and in accordance with these Terms and the Acceptable Use Policy. Defacta must not be used for unlawful activity, and we are not responsible for any use of Defacta that violates applicable law. You agree not to:
-
Use Defacta outputs to make or publish factual claims about any individual or organization without independent verification.
-
Use Defacta outputs as the sole basis for any consequential decision affecting the rights, opportunities, legal position, or reputation of any third party.
-
Aggregate Defacta outputs to create persistent credibility profiles or reputational ratings of named individuals, journalists, authors, publications, or organizations.
-
Use Defacta in any high-risk AI application without appropriate human oversight, governance, and legal review.
-
Use Defacta analysis as expert evidence in legal, regulatory, or disciplinary proceedings without independent expert verification.
-
Attempt to reverse engineer, copy, or reproduce Defacta’s methodology, models, prompts, scoring systems, source database, or verification pipeline.
-
Use Defacta or its outputs to build or train a competing product or service.
-
Use automated scripts, bots, scraping, or bulk access methods beyond your subscribed API limits or without written permission.
-
Interfere with or disrupt the service, circumvent security or usage limits, or upload malicious code.
-
Submit content that you do not have the legal right or lawful basis to submit.
-
Submit sensitive personal data about other people, such as health, financial account, or government ID data, without a lawful basis to do so.
-
Use Defacta for any illegal purpose or in violation of applicable law.
6. Plans, Credits, Payment, and Refunds
Defacta Inc. provides and supports the Defacta service. For purchases marked Sold through Link, Stripe provides the merchant of record service through Link. The merchant of record identified in checkout and on your receipt (Link) handles the payment and transaction support. Defacta Inc. does not receive or store your full payment card details. Defacta Inc. remains the seller of the service and responsible for service access, credit delivery, and product support.
The current public offers have these base prices in US dollars, including tax:
| Offer | Base price | Included credits |
|---|---|---|
| Free | No subscription fee | 30 credits per UTC calendar month |
| Plus | $3.99 per month | 100 credits per paid monthly period |
| Credit Pack 25 | $1.99, one payment | 25 credits |
| Credit Pack 50 | $2.99, one payment | 50 credits |
| Credit Pack 100 | $4.99, one payment | 100 credits |
Free and Plus monthly credits expire at the end of their respective periods. Unused monthly credits do not roll over. Free refreshes on the first day of the month at 00:00 UTC. A current paid Plus period replaces the new Free monthly grant; it does not provide an additional 30-credit grant every month. Free credits already issued before an upgrade keep their original expiry date.
Purchased Credit Pack credits do not expire. They do not include Plus or renew automatically. Monthly credits are used first, then purchased credits, then legacy credits. Credits belong to your Defacta account, cannot be transferred, and cannot be exchanged for cash or used to pay another person or business. A credit is a unit of Defacta service use, not money or a financial account. This does not limit any refund right that applies under law or the applicable payment policy.
Beta features and credits. Some features are offered in beta or testing and may be incomplete or inaccurate. Credits that you did not purchase, including Free, beta, promotional, and legacy credits, have no cash value and may be changed, limited, or withdrawn, subject to applicable law. Purchased Credit Pack credits do not expire, and beta or promotional credit rules do not change that promise. All credits and paid access remain subject to a valid payment hold and to suspension or termination under section 13.
Plus includes source-text translation and cloud history in the extension. Cloud saving requires your separate consent. Plus has no trial. A confirmed paid monthly period provides the stated credit allowance and Plus access for that period. A payment return page alone does not confirm payment or delivery. Your account shows the confirmed balance and the current subscription period.
Plus renews monthly until cancelled. You can cancel renewal in your Defacta account on the website or in the extension. For a subscription sold through Link, you can also manage the subscription or cancel renewal in your Link account. Check the cancellation confirmation and the effective end date. Cancellation stops future renewal and does not itself issue a refund. Access to the paid period continues until its stated end date, subject to these Terms and any valid payment hold or withdrawal of access. Contact Defacta support if your account does not reflect a confirmed payment or cancellation.
Checkout may offer payment in a local currency. Stripe determines the converted amount. Check the final amount and currency before you pay. The local amount can differ from a calculation based on an external exchange rate.
Fees are non-refundable except where applicable law or the applicable Link policy provides a refund. For purchases sold through Link, use the Link refund request process. Link's applicable refund policy takes precedence over a more restrictive Defacta policy. Nothing in these Terms restricts mandatory consumer refund or cancellation rights. Contact [email protected] for service or credit-delivery problems. A monetary refund request and cancellation of renewal are separate requests.
A technical credit restoration after a failed Defacta check is different from a refund of your payment. The check's displayed credit terms describe when credits are restored. Restored monthly credits retain the original period and expiry; purchased credits do not gain a new expiry date.
We may change pricing with 30 days notice to existing subscribers, unless a shorter period is permitted by applicable law or the change is favorable to users. We may correct errors in pricing or other information on the service, subject to applicable law.
7. Intellectual Property and Customer Content
Defacta, including its software, design, documentation, workflows, scoring logic, and methodology, is the intellectual property of Defacta Inc. or its licensors. You retain ownership of content you submit to the service. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms. We reserve all other rights.
By submitting content, you grant Defacta a limited, non-exclusive license to process that content solely to provide, secure, troubleshoot, and improve the service as described in the Privacy Policy and applicable customer agreement. Defacta does not use submitted content to train third-party AI models.
Shared reports. Reports are private to your account unless you choose to share them. If you share a report, anyone with the link can view it, and you are responsible for what you share.
Feedback. If you send us feedback or suggestions, including reports of bias, you grant us a non-exclusive, royalty-free license to use them to improve the service.
8. Privacy and Data Protection
Our processing of personal data is described in the Privacy Policy. Additional enterprise data protection terms, including a Data Processing Agreement, may apply where Defacta acts as a processor or service provider for a customer. Defacta Inc. is registered in the United States. Depending on where our service providers operate, your data may be transferred to and processed in other countries, including the United States, as described in the Privacy Policy. Defacta is not designed for data regulated by sector-specific laws such as HIPAA, and you should not submit such data.
9. Third-Party Services and Sub-Processors
Defacta may use third-party AI models, search providers, infrastructure providers, payment processors, and other service providers to operate the platform. Current material vendors and sub-processors are identified in the Vendor and Sub-Processor Registry. Third-party services are subject to their own technical, operational, and legal limitations. When you submit content, it may be processed by these providers as needed to deliver the service. Reports may link to third-party sources that we do not control and are not responsible for.
10. Disclaimer of Warranties
Defacta is provided “as is” and “as available” without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, secure against all threats, or that any specific result, score, or conclusion will be achieved. Verification outputs are probabilistic assessments subject to the inherent limitations described in our Transparency Statement. We may modify, suspend, or discontinue any feature at any time, including beta features, and will give reasonable notice of material changes where practicable.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Defacta Inc. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the service, including reputational harm, financial loss, lost profits, lost data, business interruption, legal liability, or claims arising from actions taken on the basis of Defacta outputs.
To the maximum extent permitted by applicable law, our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the total amount paid for the service in the twelve months preceding the claim, whether paid to Defacta Inc. or to the merchant of record identified in checkout. Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
The limitations and exclusions in this section also protect Defacta Inc.'s affiliates, founders, shareholders, officers, directors, employees, contractors, and agents, who may rely on them directly. Defacta Inc. is your only contracting party under these Terms. Any claim arising from these Terms or your use of the service may be brought only against Defacta Inc., except where applicable law does not allow this limitation.
12. Indemnification
You agree to indemnify and hold harmless Defacta Inc. and its officers, directors, employees, contractors, and agents from any claim, damage, loss, liability, cost, or expense arising from your use of the service, your violation of these Terms, your violation of the Acceptable Use Policy, your submitted content, or your violation of any third-party right.
13. Suspension and Termination
Either party may terminate the service relationship at any time. You can cancel renewal in your Defacta account on the website or in the extension, and, for a subscription sold through Link, in your Link account. Check the cancellation confirmation and effective end date. Cancellation of renewal does not itself terminate a confirmed paid period or issue a monetary refund. The paid period continues until its stated end date unless a valid payment hold, applicable refund, lawful suspension, or account termination changes access. Contact Defacta support for service-access or account issues.
We may suspend or terminate access for violation of these Terms, non-payment, security risk, suspected abuse, unlawful use, or other conduct that may harm Defacta, its personnel, users, or third parties, subject to applicable law and rights that cannot be waived. Upon termination, your right to use the service ceases immediately; any mandatory payment remedy remains available. A request to terminate your service account is separate from cancellation of renewal and from a monetary refund request. We may investigate suspected violations and cooperate with law enforcement where required.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except where mandatory consumer or data protection laws provide otherwise. Before starting any formal proceeding, the parties will first try to resolve the dispute informally by written notice for at least 30 days. Any dispute arising from these Terms shall be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction. This clause does not limit any non-waivable rights you may have under applicable law.
15. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes by email or through the service with at least 30 days notice where reasonably practicable. Continued use after changes take effect constitutes acceptance of the updated Terms.
16. General
These Terms, together with the policies referenced in them, are the entire agreement between you and Defacta about the service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign them without our consent. Notices may be given electronically, and you consent to receive them by email or through the service. Neither party is liable for delay or failure caused by events beyond its reasonable control. These Terms do not create a partnership, agency, or employment relationship.
